By creating an account, accessing, or using the TuskCPA platform (the "Service"), you agree to be bound by these Terms, our Privacy Policy, and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using the Service.
2Service Description
TuskCPA provides a comprehensive AI-powered operations platform designed specifically for accounting, auditing, and finance professionals. Our platform streamlines your practice operations while maintaining the highest standards of professional responsibility.
3. Account Registration and Security
3.1 Account Creation
To use our Service, you must:
- Be at least 18 years of age
- Provide accurate, current, and complete information
- Be a licensed CPA, accounting professional, or authorized firm representative
- Maintain and update your account information
3.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your password and account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access or security breach
- Implementing appropriate security measures, including two-factor authentication
4. Acceptable Use Policy
4.1 Permitted Use
You may use the Service only for lawful purposes in connection with your professional accounting and financial services practice.
4.2 Prohibited Activities
You agree not to:
- Violate any applicable laws, regulations, or third-party rights
- Use the Service for any illegal or fraudulent activity
- Attempt to gain unauthorized access to any part of the Service
- Interfere with or disrupt the Service or servers
- Use automated systems (bots, scrapers) without permission
- Reverse engineer, decompile, or disassemble any part of the Service
- Resell, sublicense, or redistribute the Service without authorization
- Upload malicious code, viruses, or harmful content
- Impersonate another person or entity
- Collect personal information about other users
Warning: Violation of these terms may result in immediate account suspension or termination, and we may report illegal activities to law enforcement.
5. Subscription and Payment
5.1 Subscription Plans
We offer various subscription plans with different features and pricing. Current plan details are available on our Pricing page. We reserve the right to modify our pricing with 30 days' notice to existing subscribers.
5.2 Billing
- Automatic Renewal: Subscriptions automatically renew at the end of each billing period unless cancelled
- Payment Method: You authorize us to charge your payment method on file
- Failed Payments: If payment fails, we may suspend your account until payment is received
- Taxes: Prices do not include applicable taxes, which you are responsible for
5.3 Refund Policy
We offer a 14-day money-back guarantee for new subscribers. After 14 days, payments are non-refundable except as required by law or at our sole discretion.
5.4 Cancellation
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until that time.
6. Intellectual Property Rights
6.1 Our Rights
All rights, title, and interest in the Service, including all software, designs, trademarks, and content, are owned by TuskCPA or our licensors. These Terms do not grant you any ownership rights.
6.2 Your Content
You retain ownership of all content you upload to the Service ("Your Content"). By uploading content, you grant us a limited license to:
- Store, process, and transmit Your Content to provide the Service
- Create derivative works necessary for automation and AI features
- Backup and secure Your Content
This license terminates when you delete Your Content or close your account, except for copies retained in backups for a reasonable period.
6.3 Your Responsibilities
You represent and warrant that:
- You own or have the right to upload Your Content
- Your Content does not violate any third-party rights
- You have obtained necessary consents from clients for data processing
7. Data Privacy and Security
We take data security seriously. Our practices are detailed in our Privacy Policy. Key commitments include:

- End-to-end encryption (TLS 1.3 in transit, AES-256 at rest)
- Regular security audits and penetration testing
- Compliance with applicable data protection regulations (GDPR, CCPA)
- Business Associate Agreement (BAA) available for HIPAA-covered entities

Professional Judgment
All professional decisions and judgment calls in your practice
Work Product Accuracy
Final review and verification of all client deliverables
Regulatory Compliance
Adherence to professional standards, ethics rules, and regulations
Client Relationships
Direct client communications and relationship management
License Maintenance
Keeping professional licenses and credentials current
AI Content Review
Verification and validation of AI-generated content and suggestions
Important Legal Disclaimer
Our Service is not a substitute for professional judgment, legal advice, or tax advice. TuskCPA tools are designed to assist licensed professionals but do not constitute professional services themselves. Always apply your professional expertise and judgment in all client matters.
9. Warranties and Disclaimers
9.1 Service Availability
We strive for 99.9% uptime but do not guarantee uninterrupted access. We may suspend the Service for maintenance, updates, or emergency repairs.
9.2 Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TUSKCPA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
11. Indemnification
You agree to indemnify, defend, and hold harmless TuskCPA and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) violation of these Terms; (c) violation of any rights of third parties; or (d) Your Content.
12. Term and Termination
12.1 Term
These Terms remain in effect while you use the Service.
12.2 Termination by You
You may terminate your account at any time by contacting us or through your account settings.
12.3 Termination by Us
We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or for any reason at our discretion with 30 days' notice (except in cases of violation).
12.4 Effect of Termination
Upon termination, you will lose access to the Service. You may request a copy of Your Content within 30 days. After that, we may delete Your Content according to our data retention policy.
13. Modifications to the Service and Terms
We reserve the right to modify or discontinue the Service or these Terms at any time. Material changes to these Terms will be communicated via email or Service notice at least 30 days in advance. Your continued use after such changes constitutes acceptance.
14. Dispute Resolution
14.1 Informal Resolution
If you have a dispute, please contact us first at tuskcpa@gmail.com to attempt an informal resolution.
14.2 Arbitration
Any disputes that cannot be resolved informally shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in San Francisco, California.
14.3 Class Action Waiver
You agree to resolve disputes on an individual basis and waive the right to participate in class actions or class arbitrations.
15. General Provisions
- Governing Law: These Terms are governed by the laws of the State of California, without regard to conflict of law principles.
- Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and TuskCPA.
- Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
- No Waiver: Failure to enforce any right or provision does not constitute a waiver.
- Assignment: You may not assign these Terms. We may assign them without restriction.
- Force Majeure: We are not liable for delays or failures due to circumstances beyond our reasonable control.
